These terms of use (the 'Terms of Use') set out the rules that apply to the use of the website badgebox.com operated by Badgebox srl, Viale dell'Esperanto, 71, 00144 Rome (hereinafter 'Badgebox', the 'Company' or 'we'), a company subject to the direction and coordination of Adecco Group AG, including the content made available through this website (the 'Website').
The use of the BadgeBox services (the web and mobile application, the AI Features, the agents and the messaging channels, the 'Services') is governed by the contract or by the terms accepted at activation or purchase, which prevail in the event of conflict. The sections of these Terms of Use concerning the AI Features and the messaging channels apply to the Services; the other sections apply to the Services, insofar as compatible, for anything not provided for by that contract or those terms.
Below is a table of contents that lets you go straight to the relevant sections.

## 1Acceptance of these Terms of Use

By using the Website ('you') you confirm that you accept the Terms of Use in force at the time of your visit to the Website and that you undertake to comply with them. If you do not accept these Terms of Use, we ask you not to use the Website. We recommend that you print or download a copy of these terms for future reference.
The content we make available through the Website (the 'Content') may be governed by additional special terms (the 'Special Terms'), which you accept each time you access such Content. In the event of any conflict or discrepancy between these Terms of Use and any Special Terms, the latter shall prevail over these Terms of Use.

## 2Access to the Website

Access to the Website is permitted on a temporary basis and we reserve the right to withdraw or amend the Content we make available on the Website without notice, in order to reflect changes to our products and services, to our users' needs and to our business priorities.
From time to time we may restrict access to some areas of the Website or to the entire Website. Such restrictions will be imposed at our sole discretion for any reason, including failure to comply with the Terms of Use, use of the site for unlawful or immoral purposes, or conduct damaging the integrity, security or reputation of the Website, or to allow us to carry out maintenance, improve or modify the Website and/or the Content.
We do not guarantee continuous, uninterrupted and secure access to the Website and we shall not be liable if, for any reason, the Website is unavailable, in whole or in part, at any time or for any period.
We do not guarantee that the functional aspects of the Website and/or the Content are free from errors, or that the servers that make it available are free from viruses or other harmful components.

## 3Use of the Website

You are free to make your own decisions and you are solely responsible for the use you make of the Website.
You are responsible for making all arrangements necessary to access the Website. You are also responsible for ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and of any applicable Special Terms, and that they comply with them.
If you choose (or are provided with) a user identification code, a password or any other information as part of our security procedures, you must treat such information as confidential and must not disclose it to third parties. If in our judgement you have failed to comply with any of the provisions of these Terms of Use, we have the right to disable, at any time, any user identification code or password, whether chosen by you or assigned by the Company.
By accessing the Website, you agree not to take any action that may damage our image or harm our interests or rights, or those of any of our affiliates (the 'Adecco Group Companies'), or that may damage, render useless or overload the Website, or that may in any way interfere with its normal use by other visitors.
We take reasonable and appropriate security measures to detect the presence of viruses. You must nevertheless be aware that the security measures available for computer systems on the internet are not entirely reliable and that, as a consequence, we cannot guarantee the absence of viruses or other elements that may cause alterations to your computer systems (hardware and software) or to the data and files held in your systems.
You must not misuse the Website by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful; you must not attempt to gain unauthorised access to the Website, to the server on which it is hosted or to any server, computer or database connected to it; and you must not attack the Website by means of a denial-of-service or distributed denial-of-service attack.
Badgebox will report any such breach to the relevant law enforcement authorities and will cooperate with those authorities. In the event of such a breach, your right to use the Website will cease.

## 4Content

We are not obliged to verify the accuracy of the Content and we do not guarantee its usefulness, accuracy, completeness or relevance, nor that it is up to date. We expressly exclude any and all liability for errors or omissions in relation to the Content and the Website, save to the extent that such liability arises from our fraud or fraudulent misrepresentation, or from death or personal injury caused by our negligence.
The presence of Content on the Website does not in any way constitute the provision of staffing services or of services of any other kind. Badgebox and the Adecco Group Companies expressly exclude any and all liability for the decisions you take on the basis of the Content.

## 5No commercial relationship or investment offer

The Website is not intended to establish a commercial relationship of any kind between you and Badgebox.
The information provided on the Website does not constitute an offer or an invitation to buy or dispose of Badgebox securities, to trade in them or to enter into any transaction concerning them. Investors must not rely on such information when making investment decisions.

## 6Intellectual property rights

All the Content of the Website is owned by Badgebox or licensed to it for use. All the content you can view or read on the Website (such as images, photographs, illustrations, texts, videos and other materials) is protected worldwide by copyright, design, trade mark and other intellectual property laws.
You must at all times respect all intellectual property rights in the Website and the Content, whether owned by Badgebox, by one of the Adecco Group Companies or by third parties. You may not obtain, or attempt to obtain, such Content by any means or procedure other than those made available to you by the Website.
In no event do these Terms of Use or your use of the Website confer on you any intellectual property rights in the Website or the Content other than those set out here or in any other Special Terms.
It is therefore expressly prohibited to reproduce, transform, distribute or publicly communicate, or to make available, extract, reuse, retransmit or otherwise use, by any means or procedure, any part of the Website or of the Content, except where permitted by these Terms of Use or by any relevant Special Terms, where authorised to do so by applicable law, or where Adecco Group or the owner of the relevant rights has given express authorisation.

## 7Links from and to our Website

Where the Website contains links to other websites and resources provided by third parties, those links and resources are provided for information purposes only. The presence of any link does not imply that Badgebox endorses those third-party websites to which the links redirect, or the information that may be obtained from them.
We have no control over the contents of those sites or resources.
We recommend that you read the terms of use of third-party websites and review them regularly. You are solely responsible for the decision to access third-party websites and you assume the risk of following a link to a third-party site.
You may not place a link redirecting to the Website from a third-party website without having obtained Badgebox's prior written authorisation. We reserve the right to withdraw any linking authorisation without notice.

## 8Personal data

For further information on how personal data is used, please see our Privacy Notice (as updated from time to time).

## 9Artificial intelligence features

Some BadgeBox features rely on artificial intelligence systems (the 'AI Features'). They are ancillary and optional: the customer company decides whether to enable them and for which roles, and they can be switched off at any time. These provisions apply to anyone using them and are in addition to the other provisions of these Terms of Use; where a contract or Special Terms relating to the BadgeBox service exist, those shall prevail.
The AI Features include, by way of example:
extracting data from documents you upload: expense reports, certificates, personnel documents, job applications, import files;
proposing texts, records and plans: job adverts, appraisal templates and summaries, training paths, support replies;
analysing attendance data, flagging anomalies, reviewing a period and proposing corrections;
estimating labour cost, including by consulting collective bargaining agreement databases;
generating programs and automations (rules, connectors, schedules), which are run in an isolated environment;
agents that operate autonomously: they read the company's data, write messages to people and propose actions.
How the results are produced. The texts, figures, proposals and programs generated by the AI Features (the 'Results') are produced automatically by statistical models, including those of third-party providers, to which the content needed for processing is transmitted. For how we process personal data, please see our Privacy Notice.
No warranty as to the Results. The Results are probabilistic in nature: they may be inaccurate, incomplete, out of date or irrelevant, even where they appear plausible and well formulated. We make no representation, warranty or assurance that the Results are correct, complete, free from errors or fit for any particular purpose, nor do we guarantee that identical inputs will produce identical Results.
The Results do not constitute advice. The AI Features do not provide legal, employment, tax, accounting, social security, medical or other professional advice and do not replace the assessment of those qualified to give it. Information on collective bargaining agreements, job grades, minimum pay scales, salaries and economic treatment is provided for information purposes and must be verified against official sources and the applicable contractual texts.
Human review. Before using a Result, and in any event before taking a decision, communicating it to third parties, sending it to a worker or to an authority, or running a generated program, you must review it. Actions affecting a person's position — approving a request, correcting or signing a timesheet, sending a communication — require the express approval of whoever is entitled to give it: whoever approves remains responsible for what they approve, and the approval does not transfer responsibility for the decision to Badgebox.
Your obligations. In using the AI Features you undertake to:
not enter data that you are not entitled to process or to disclose;
comply with applicable law on employment, personal data protection and remote monitoring of workers' activity, including information obligations and, where required, trade union agreements or authorisations;
not base on a Result a decision taken solely by automated means that produces legal effects concerning a person or significantly affects them, without meaningful human involvement (Article 22 of Regulation (EU) 2016/679);
discharge, where the AI Features are used in the management of workers, the obligations that the law places on those who use them, including human oversight and the information to be given to the persons concerned (Regulation (EU) 2024/1689);
not use the AI Features for unlawful or discriminatory purposes, or for purposes unrelated to the management of the employment relationship.
Availability and credits. The AI Features consume credits according to the active plan, depend on third-party providers' services and may be limited, suspended, modified or discontinued, including without notice, for technical, security, cost or compliance reasons. We do not guarantee continuity of service, response times, or the achievement of any particular result.

## 10Limitation of liability for the AI Features

Your use of the AI Features and your reliance on the Results are at your own risk. To the maximum extent permitted by applicable law, Badgebox and the Adecco Group Companies expressly exclude any and all liability for decisions taken and for acts or omissions based on the Results, and for any damage arising from them.
The exclusion covers, by way of example and without limitation, damage arising from:
errors, omissions or inaccuracies in attendance data, in timesheets, in absence requests and in the corrections proposed or carried out;
errors in the calculation of cost, pay, balances or reimbursements, and in information relating to collective bargaining agreements and job grades;
the content, timing and recipients of messages, notifications and communications generated or sent by the AI Features and by the agents, including actions carried out by an agent after an approval;
the operation, accuracy or effects of the programs, rules, connectors and automations generated;
data extracted from a document and attributed to the wrong person or the wrong case.
Nor shall we be liable for any indirect or consequential loss, such as loss of use, business interruption, loss of profits, of goodwill or of data, arising from or connected with the AI Features.
Nothing in the foregoing excludes or limits our liability where it would be unlawful to do so, nor in the event of wilful misconduct or gross negligence, death or personal injury caused by our negligence, or fraud or fraudulent misrepresentation. The sections of these Terms of Use concerning the absence of warranties and Badgebox's liability for loss or damage remain in force and apply to the AI Features too, save as otherwise provided here.
The limitations in this section concern our liability towards you and do not alter the obligations that Regulation (EU) 2024/1689 on artificial intelligence places on Badgebox as provider of the AI Features, which remain in force.

## 11WhatsApp channel

BadgeBox offers a messaging channel on WhatsApp (the 'WhatsApp Channel') through which the people of the client company can communicate with BadgeBox from their own phone: check their own data, clock in and out, send requests, documents and photos, reply to the agents' messages and receive notices. The WhatsApp Channel is an optional feature: it is available only to the companies for which Badgebox has made it available, and it reaches the people of a company only after the company, from its settings, has accepted these provisions. These provisions are in addition to the other provisions of these Terms of Use, including those on the AI Features; where a contract or Special Conditions relating to the BadgeBox service exist, the latter prevail.
A third-party application. WhatsApp is a service provided by companies of the Meta group and governed by the WhatsApp terms of service and privacy policy, which each person accepts directly with the provider when installing and using the application. Badgebox does not operate the WhatsApp application and does not control its operation, availability or security, nor the processing of data that the provider carries out on people's devices and on its own systems.
How the data travels. The messages exchanged through the WhatsApp Channel travel through and are processed on the systems of the following third-party providers, in addition to Badgebox's systems:
Meta and WhatsApp, which carry the messages between the person's phone and BadgeBox's WhatsApp Business number, and which may also process the data outside the European Economic Area under their own terms;
Amazon Web Services (AWS), whose AWS End User Messaging service connects BadgeBox's WhatsApp Business number to Badgebox's systems, holds the attachments sent by people until Badgebox reads them, and sends the SMS with which people switch the channel on;
the providers of the artificial intelligence models that process the messages in order to reply, as provided in the section «Artificial intelligence features».
The data that travels includes the person's phone number and WhatsApp profile name, the content of the messages they send and receive (texts, voice messages, photos, documents, shared location) and the data that BadgeBox returns in reply, such as times, balances, requests and documents, within the limits of the features the company has enabled for the channel and of each person's permissions.
The company's responsibility. Switching the WhatsApp Channel on is a choice of the client company, which is responsible for it. With regard to the personal data of the people who use the channel, the company acts as data controller; Badgebox processes that data on the company's behalf under the contract and the data processing agreements governing the BadgeBox service, and uses the providers listed above for the part of the transmission that concerns them, it being understood that WhatsApp processes the data of each person's account and application under the direct relationship it has with that person. By switching the WhatsApp Channel on, the company undertakes to:
inform people, before inviting them, of how the channel works, of the data that travels through it and of the role of the third-party providers, and identify the legal basis for the processing;
keep the channel optional: each person confirms the activation from their own phone, can close the channel at any time by writing «stop», and must be able to carry out the same operations from the BadgeBox application;
assess whether the use of the channel is compatible with the law on employment, on the protection of personal data and on the remote monitoring of workers' activity, including, where required, trade union agreements or authorisations;
choose the operations allowed from the chat and the way documents are sent (link or file) in a manner appropriate to the data processed, bearing in mind that messages and files sent in the chat remain on the person's phone and are subject to the terms of the application provider;
not use the channel to communicate special categories of personal data, such as health data, except to the extent that this is necessary and permitted by law;
invite only people who belong to the company, on phone numbers they hold, keep the numbers in the personnel records up to date and revoke the activation when the conditions for using it no longer apply.
Availability and costs. The messages of the WhatsApp Channel, incoming and outgoing, and the replies generated consume credits according to the active plan. The channel depends on third-party services and may be limited, suspended or interrupted, even without notice, by decision of the providers (for example sending limits, content policies, suspension of the number) or for technical, security or compliance reasons. WhatsApp allows writing freely to a person only within twenty-four hours of their last message: after that time BadgeBox's messages may be held until the person replies again, or may not be delivered.
Switching off. The company may switch the WhatsApp Channel off at any time from its settings: from that moment BadgeBox no longer sends messages on WhatsApp to the company's people and, to the messages they keep sending, only replies that the channel is suspended. Switching off does not delete the messages already on people's phones and on the systems of the application provider, which remain subject to the latter's terms. A new version of these provisions may require a new acceptance before the channel is switched on again.
Acceptance. The company's acceptance of these provisions is recorded with the name of the person who gives it, the date, the IP address and the version of the text accepted. Whoever gives it declares that they have the power to do so on behalf of the company.

## 12Limitation of liability for the WhatsApp Channel

To the fullest extent permitted by applicable law, Badgebox and the Adecco Group Companies exclude any liability for:
the operation, availability and security of the WhatsApp application and of Meta's systems and the way they process data, as well as changes to their terms, prices or policies;
the failure, delay or error in delivering a message due to the third-party providers, to the person's phone or to their connection;
access to the channel by third parties who have the use of a person's phone or WhatsApp account;
the consequences of the company's choice to switch the channel on, of the operations it allows through it and of any failure to comply with the undertakings set out in the section «WhatsApp channel».
The company is answerable to the people who use the channel and to the competent authorities for compliance with the undertakings set out in the section «WhatsApp channel», and shall hold Badgebox harmless from third-party claims arising from any failure to comply with them.
The sections on the AI Features remain in force for the replies generated and for the actions carried out through the channel. Nothing in the foregoing excludes or limits Badgebox's liability where it would be unlawful to do so, nor in the event of wilful misconduct or gross negligence.

## 13Telegram and BadgeBox Chat channels

In addition to the WhatsApp Channel, BadgeBox offers two other messaging channels through which the people of the customer company can carry out the same operations: a channel on Telegram (the 'Telegram Channel') and BadgeBox Chat, a Badgebox web application that is used from the browser and can be installed on a phone or a computer (together, the 'Other Channels'). The Other Channels are optional features: they are available only to the companies for which Badgebox has made them available, and they reach a company's people only if the company has activated them in its settings. These provisions are in addition to the other provisions of these Terms of Use, including those concerning the AI Features; where a contract or Special Terms relating to the BadgeBox service exist, they prevail.
Telegram Channel. Telegram is a service provided by companies of the Telegram group and governed by Telegram's terms of service and privacy policy, which each person accepts directly with the provider when installing and using the application. Messages exchanged through the Telegram Channel pass through and are processed, in addition to Badgebox's systems, on Telegram's systems, which may process the data outside the European Economic Area under its own terms. Badgebox does not operate the Telegram application and does not control its operation, availability and security, nor the processing of data the provider carries out on people's devices and on its own systems.
BadgeBox Chat. BadgeBox Chat is operated by Badgebox, and messages pass through and are processed on Badgebox's systems. A person signs in from a device with a code sent by SMS to their phone number through the AWS End User Messaging service of Amazon Web Services, or from their BadgeBox application session. Notifications, if the person turns them on, are delivered by the notification service of the device's browser or operating system, which receives their content in encrypted form.
One channel per person. Each person uses one channel at a time: activating a channel deactivates the person's other channels in the same company.
The data that passes through. The person's phone number, for the Telegram Channel also the Telegram profile name, the content of the messages they send and receive (texts, voice messages, photos, documents, shared location) and the data BadgeBox returns in reply pass through the Other Channels, within the limits of the features the company has enabled and of each person's permissions. Replies are generated by the AI Features as provided in the section «Artificial intelligence features» and consume credits according to the active plan.
The company's responsibility. Activating the Other Channels is the customer company's choice, and the company is responsible for it. With regard to the personal data of the people who use them, the company acts as data controller and Badgebox processes such data on its behalf, under the contract and the data processing agreements governing the BadgeBox service. The company's undertakings set out in the section «WhatsApp channel» and the exclusions of liability set out in the section «Limitation of liability for the WhatsApp Channel» apply to the Other Channels insofar as compatible, and for the Telegram Channel they also apply to the Telegram application and systems.
Deactivation. The company can deactivate the Other Channels at any time from its settings, and each person can close their channel by writing «stop». Deactivation does not delete messages already on people's devices and, for the Telegram Channel, on the systems of the application's provider.
